DIGITAL IMAGE LICENSE AGREEMENT

VanHyning Photography

This Digital Image License Agreement (“Agreement”) is a legally binding contract between VanHyning Photography (“Licensor”) and the purchaser (“Licensee”). By purchasing, downloading, or using any digital image file, Licensee agrees to be bound by the terms outlined below.

1. COPYRIGHT OWNERSHIP

All images are protected by United States and international copyright laws.

All right, title, and interest in and to the images remain the sole and exclusive property of VanHyning Photography.

No copyright ownership is transferred under this Agreement.

Licensee is granted a limited, non-exclusive, non-transferable, revocable license strictly as defined herein.

2. PERSONAL LICENSE

The Personal License permits Licensee to:

• Display the image digitally for private, non-commercial purposes
• Produce one (1) physical print not exceeding 16x24 inches for personal display only

The Personal License expressly prohibits:

• Resale or redistribution of the image file
• Transfer or sublicensing of rights
• Commercial use of any kind
• Advertising, marketing, or promotional use
• Merchandise production
• NFT creation or blockchain minting
• Multiple physical reproductions
• Reproduction exceeding 16x24 inches
• Replication of Limited Edition formats

The image file may not be shared, transmitted, or provided to any third party.

3. EDITORIAL LICENSE

The Editorial License permits use for:

• Newspapers
• Magazines
• Books
• Blogs
• Journalistic publications

All editorial use must include visible credit:

The Editorial License does not permit:

• Advertising
• Sponsored content
• Product promotion
• Corporate branding
• Commercial exploitation

Any use beyond journalistic publication constitutes Commercial Use and requires separate written authorization.

4. COMMERCIAL USE

Commercial Use includes, but is not limited to:

• Advertising campaigns
• Corporate marketing
• Product packaging
• Branding
• Promotional materials
• Paid media placement
• Revenue-generating distribution

Commercial Use requires a separate negotiated written agreement.

Unauthorized Commercial Use constitutes willful copyright infringement and may subject the Licensee to statutory damages, injunctive relief, and recovery of legal fees under applicable law.

5. LIMITED EDITION PROTECTION

Certain works are offered as Limited Edition physical prints.

Digital licenses do not grant any right to reproduce, simulate, replicate, or approximate Limited Edition presentation formats, sizes, numbering, or signed works.

Limited Edition works remain exclusively produced and distributed by VanHyning Photography.

6. NON-TRANSFERABILITY

This license is granted solely to the original purchaser.

The license may not be assigned, transferred, sublicensed, or otherwise conveyed to any third party without prior written consent.

7. BREACH AND TERMINATION

Any violation of this Agreement immediately terminates the license granted herein.

Upon termination, Licensee must cease all use of the image and destroy all copies in their possession.

VanHyning Photography reserves the right to pursue all remedies available under federal and state law.

8. GOVERNING LAW

This Agreement shall be governed by the laws of the United States.
